By registering on, accessing, listing products on, purchasing from, or otherwise using the Optiko Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, along with any policies, guidelines, notices, and updates issued by Optiko from time to time.
If you do not agree to these Terms, you must immediately discontinue the use of the Platform.

1. DEFINITIONS
For the purpose of these Terms, unless the context otherwise requires:
1.1 “Platform”
Means the website, mobile application, software systems, APIs, communication channels, dashboards, and all related technology infrastructure operated by Optiko under the brand name “Optiko”.
1.2 “Seller” / “Retailer”
Means an independent optician, optical retailer, optical store, distributor, merchant, or authorized business entity permitted by Optiko to list and sell products through the Platform.
1.3 “Customer”
Means any end consumer, buyer, or user who purchases or intends to purchase products or services through the Platform.
1.4 “Products”
Means spectacles, frames, sunglasses, contact lenses, prescription lenses, eye-care products, optical accessories, vision-related products, and any other approved products permitted for sale on the Platform.
1.5 “Services”
Means the technology, marketplace, payment facilitation, promotional, communication, logistical coordination, and related services provided by Optiko.
1.6 “Applicable Laws”
Means all laws, rules, regulations, notifications, guidelines, standards, circulars, and governmental requirements applicable in India.
1.7 “Intellectual Property”
Includes trademarks, logos, copyrights, software, databases, trade names, designs, content, source code, business methods, trade secrets, and proprietary technology.

2. NATURE OF THE PLATFORM
2.1 Optiko is a technology-enabled online aggregator and marketplace platform connecting independent optical retailers and customers across India.
2.2 Optiko merely provides a digital platform to facilitate:
- Product discovery,
- Product listing,
- Online ordering,
- Communication,
- Marketing support,
- Payment facilitation,
- Customer engagement,
between Sellers and Customers.
2.3 Optiko is not:
- A manufacturer,
- Wholesaler,
- Distributor,
- Seller of record,
- Medical practitioner,
- Eye-care service provider,
unless expressly stated otherwise in writing.
2.4 The actual contract of sale for products is strictly between the Seller and the Customer.
2.5 Optiko does not assume ownership, possession, control, quality assurance, or legal responsibility for products listed by Sellers.

3. ELIGIBILITY AND SELLER ONBOARDING
3.1 Only verified and approved optical businesses may register as Sellers on the Platform.
3.2 Sellers must:
- Be legally competent to contract;
- Possess all applicable licenses and registrations;
- Comply with GST, taxation, consumer protection, and commercial laws;
- Maintain accurate business information at all times.
3.3 Optiko reserves the absolute right to:
- Approve or reject onboarding requests;
- Request additional documents;
- Conduct verification checks;
- Suspend or terminate Seller accounts.
3.4 Sellers represent and warrant that:
- All information submitted to Optiko is accurate and complete;
- Products sold are genuine and lawfully sourced;
- Products comply with applicable quality and safety standards.

4. PRODUCT LISTINGS
4.1 Sellers are independently responsible for creating and maintaining product listings.
4.2 Sellers may freely list approved products on the Platform subject to compliance with:
- Optiko listing policies,
- Marketplace standards,
- Applicable laws,
- Consumer protection requirements.
4.3 Optiko may issue, revise, amend, or update listing guidelines from time to time, and Sellers agree to comply with such updates.
4.4 Sellers shall ensure that:
- Product descriptions are accurate;
- Pricing is transparent;
- Prescription requirements are clearly disclosed;
- Product images are authentic and non-misleading;
- Stock availability is updated regularly.
4.5 Sellers shall not upload or sell:
- Counterfeit products;
- Expired products;
- Misleading or deceptive products;
- Prohibited or restricted goods;
- Products infringing third-party intellectual property rights.
4.6 Optiko reserves the right to:
- Remove listings,
- Restrict visibility,
- Suspend listings,
- Block products,
without prior notice if any listing violates applicable policies or laws.

5. ORDERS, FULFILMENT, AND CUSTOMER RESPONSIBILITY
5.1 Sellers are solely responsible for:
- Order acceptance,
- Packaging,
- Shipping,
- Delivery,
- Product quality,
- Warranty obligations,
- Customer support,
- Prescription accuracy,
- Product returns and exchanges.
5.2 Sellers shall ensure timely processing and fulfillment of orders.
5.3 Customers are responsible for:
- Providing accurate prescription details where applicable;
- Verifying suitability of products before purchase;
- Consulting qualified professionals when necessary.
5.4 Optiko does not guarantee:
- Product availability,
- Delivery timelines,
- Prescription suitability,
- Product effectiveness,
- Medical outcomes.

6. PAYMENT TERMS AND PAYMENT GATEWAY
6.1 Optiko may facilitate online payments through third-party payment gateway providers, banks, or financial intermediaries.
6.2 Sellers acknowledge and agree that:
- Payment gateway charges,
- Platform commissions,
- Transaction fees,
- Taxes,
- Settlement charges,
may be deducted from payouts.
6.3 Optiko shall determine payout cycles, settlement timelines, and applicable charges at its discretion or as mutually agreed.
6.4 Optiko shall not be responsible for:
- Payment failures,
- Banking disruptions,
- Delayed settlements,
- Technical downtime,
- Unauthorized transactions caused by third parties,
- RBI or banking restrictions.
6.5 Sellers are solely responsible for:
- GST compliance,
- Tax filings,
- Invoice generation,
- Accounting obligations,
- Applicable statutory deductions.

7. RETURNS, REFUNDS, AND CANCELLATIONS
7.1 Return, refund, exchange, replacement, and cancellation policies may vary depending on product type, Seller policies, hygiene standards, and prescription requirements.
7.2 Sellers shall clearly disclose applicable return and refund conditions.
7.3 Optiko may facilitate communication between Customers and Sellers regarding disputes but shall not be obligated to resolve such disputes.
7.4 Refunds, where applicable, may be processed subject to Seller approval and payment gateway timelines.

8. DISCLAIMER OF WARRANTIES AND LIABILITY
8.1 Optiko acts solely as an intermediary technology platform.
8.2 Optiko makes no representation or warranty regarding:

- Prescription accuracy,
- Authenticity,
- Merchantability,
- Fitness for a particular purpose,
- Legal compliance of products,
- Availability of services.
8.3 Optiko shall not be liable for:
- Defective products,
- Incorrect prescriptions,
- Medical complications,
- Product misuse,
- Delivery failures,
- Seller misconduct,
- Customer disputes,
- Losses arising from use of products or services sold by Sellers.
8.4 Customers purchase products at their own discretion and risk.
8.5 Optiko does not provide medical advice or professional eye-care services.

9. INTELLECTUAL PROPERTY RIGHTS
9.1 The Platform and all associated Intellectual Property are the exclusive property of Optiko Technologies LLP.

12. INDEMNIFICATION
The Seller agrees to indemnify, defend, and hold harmless Optiko Technologies LLP and its partners, affiliates, employees, officers, directors, and representatives from and against all claims, liabilities, damages, penalties, costs, losses, legal proceedings, and expenses arising out of:
- Products sold by the Seller;
- Defective or unsafe products;
- Regulatory violations;
- Breach of these Terms;
- Intellectual property infringement;
- Customer complaints;
- Fraudulent conduct;
- Misrepresentation;
- Tax non-compliance;

13. LIMITATION OF LIABILITY
